• Corporate Law. In the area of corporate law, we assist clients with the structuring, formation, maintenance, and governance of corporations, general partnerships, limited partnerships, limited liability partnerships, unlimited liability companies, and non-profit organizations (including societies and cooperatives). We have extensive experience in negotiating and drafting shareholder agreements, partnership agreements (particularly with First Nations), and joint venture agreements. We also assist clients with the implementation of tax planned corporate reorganizations and amalgamations.
• Debt and Equity Financings. Our team of lawyers and paralegals work together to close financing transactions quickly and cost-effectively. When acting as borrower’s counsel in a loan transaction, we work expeditiously to satisfy all of the lender’s funding conditions. In the financing of purchase agreements, our lawyers have extensive experience in negotiating and drafting vendor take-back loan agreements and related security documentation. Our lawyers regularly assist clients with the raising of equity on a prospectus-exempt basis pursuant to National Instrument 45-106, particularly startup companies (seed/angel round financings) and real estate limited partnerships.
• Mergers and Acquisitions. We advise and represent clients in all aspects of the purchase and sale of closely-held businesses, including due diligence, negotiation of deal terms, structuring of the transaction (whether as a share or asset purchase), financing, and the negotiation and drafting of transaction documents.
• Contracts and Commercial Law. We assist clients across a broad spectrum of industries with the negotiation and drafting of contracts and commercial agreements, including: confidentiality and non-disclosure agreements; purchase and supply agreements; sales contracts; services agreements; equipment leasing agreements; agency, distribution, and franchise agreements; and software and intellectual property licensing agreements. We also advise and represent clients in contract disputes and litigation.
• Employment Law. We advise and represent our clients in the preparation and enforcement of employment agreements, non-solicitation agreements, and non-competition agreements. We counsel our clients on workplace governance and human resource policies, practices, and legal obligations. Finally, we advise and represent our clients on all matters pertaining to employee human rights claims, privacy claims, and employee notice and termination.
• Commercial Lending. We act as counsel for numerous Canadian banks, credit unions, and other financial institutions in a wide range of secured financing transactions, including capital, land, construction, term (including CMHC-insured), and operating loans.
